This website is operated by Cansly Digital (hereinafter referred to as "Cansly"). The terms "We", "Us" and "Our" are used to refer to only Cansly Digital and/or Cansly Parties. Cansly Digital offers all information, tools and services which are used or concerns Cansly Digital carrying out of business, and are publicly available at the website. The Vendor shall be deemed to have accepted all the terms, conditions, policies and notices officially stated, as they register to sell products on the website.
Please read this Vendor's Policy & Vendor Agreement carefully before becoming a Vendor on our website. By registering as a Vendor on our website, you become a Vendor of the website and engage in our services. Such engagement will consecutively mean the Vendor agreeing to be bound by the following terms and conditions, including those additional terms and conditions and policies referenced herein and/or available by hyperlink on the website. These terms and conditions apply to all Vendors of the website. Cansly Digital may assign any of its rights and obligations under these terms and conditions.
Any new addition of features, services, or tools shall also be deemed to be subject to the terms and conditions in force. You can review the most current version at any time on this page. We reserve the right to update, change or replace any part of these terms and conditions by posting updates and/or changes to our website. Therefore, in order to stay updated on the terms and conditions, please check this page periodically for changes. Your continued use of, or sell of your products, following the posting of any changes constitutes acceptance of those changes.
1. Vendor Eligibility & Verification (KYC at > Onboarding)

To sell or otherwise become a Vendor of the Platform, you must be at least 18 (Eighteen) years of age, possess full legal capacity to enter into binding contracts under applicable law, valid business documentations, and successfully register and maintain a valid Account. As part of the registration and verification process, you must provide complete, accurate, current, and verifiable information, including, where requested by Cansly, your full legal name, National Identification Document (NID) number, passport number, date of birth, mobile phone number, email address, residential or business address, payment information, and any additional information or documentation required for identity verification, compliance, fraud prevention, risk assessment, regulatory obligations, or Platform security.

You represent and warrant that all information submitted to Cansly is true, accurate, complete, current, lawfully obtained, and belongs to you. You shall promptly update any information that becomes inaccurate, outdated, incomplete, or misleading. Cansly reserves the right, at any time and without liability, to request additional information, documentation, verification procedures, biometric verification, identity confirmation, proof of address, proof of ownership of payment instruments, or any other information reasonably required to verify your identity, assess risk, comply with legal obligations, or protect the Platform and its Users.

Failure to provide requested information, failure to successfully complete verification procedures, or the provision of inaccurate, misleading, incomplete, or unverifiable information may result in any of the enforcement measures set out in Section 32 (Vendor Suspension & Termination), including reporting to relevant authorities.

Vendors shall not engage in any illegal, unlawful, fraudulent or deceptive conduct (see Section 4 and 6 for the detailed listing rules and prohibited-items list this includes). Vendors shall comply with all applicable laws, regulations and industry standards relating to the creation, licensing, marketing, distribution and sale of their digital products, including all applicable consumer protection, data protection, electronic commerce and intellectual property laws. Where a digital product is subject to age restrictions, licensing requirements or any other legal limitations, the Vendor shall accurately disclose such restrictions in the relevant product listing.

As described further in Section 2.1 and Section 19.2, the Platform is an online digital intermediary marketplace that enables Vendors to list, market and sell their digital products to potential buyers. The Platform may display, recommend or otherwise promote a Vendor's products to prospective buyers based on factors including, but not limited to, user preferences, browsing behaviour and other information made available through the Platform. Nothing in this Agreement shall be construed as granting the Vendor any right to require the Platform to display, rank or promote its products in any particular manner
2. Vendor Agreement

Status of the Vendor: By registering as a Vendor on the Platform, you acknowledge and agree that you act solely as an independent seller. You, and not Cansly are solely responsible for listing, marketing, licensing (where applicable), selling and delivering your Products to Buyers. Nothing contained in this Policy, the Terms, or any other agreement between you and Cansly shall be construed as creating any partnership, joint venture, employment, agency, franchise, fiduciary or other similar relationship between you and Cansly. Cansly acts solely as the operator of the Platform and as an intermediary facilitating transactions between Vendors and Buyers.

Core obligations: By registering as a Vendor and continuing to use the Platform, you agree to comply with all obligations, responsibilities, representations, warranties and requirements imposed upon Vendors under this Policy, the Terms, any other applicable Platform policies, and all Applicable Laws. You acknowledge that compliance with each provision of this Policy is a continuing condition of your right to access and use the Platform as a Vendor.
3. Vendor Tiers & Commission
- Commission is calculated on the product price only and deducted from your earnings at the time of each completed Order.

Tier upgrades may be automatic or granted by Cansly. Cansly may apply a custom commission rate (promotional, negotiated or penalty) overriding the tier rate, and may change, reduce or revoke any tier, rate, badge or benefit at its discretion. Tiers and benefits are discretionary privileges, not entitlements.

Cansly Pro (399 BDT/month) offers a reduced commission and benefits set by Cansly, applied on top of your tier, paid via Moneybag or approved payment methods (not from balance), renewing monthly, non-refundable

On failed payment, a 7-day grace period applies, after which the plan downgrades to free tier and listings above the free limit are paused.
4. Listing Rules & Product Standards
- Vendors shall comply with all Applicable Laws, including, where applicable, the Consumer Rights Protection Act, 2009 and the Penal Code, 1860
Without limitation to the foregoing, Vendors shall not:
(a) list, market or sell any Product that is illegal, prohibited or otherwise unlawful;
(b) list, market or sell any counterfeit, pirated, unauthorised or otherwise infringing Product;
(c) make any false, misleading or deceptive representation regarding any Product or the Vendor;
(d) knowingly publish inaccurate, incomplete or misleading Product information;
(e) fail to provide a Buyer with access to or delivery of a purchased Product in accordance with the applicable Product listing;
(f) upload, distribute or make available any Product containing malware, viruses, malicious code, spyware, ransomware or any other harmful or destructive software;
(g) misrepresent ownership, authorship, licensing rights or permissions relating to any Product; or
(h) engage in any fraudulent, deceptive or unfair commercial practice, or any conduct likely to prejudice the rights, property or security of Buyers, Cansly or any third party.

Vendors shall not conduct, advertise or promote any lottery, prize draw, reward scheme, giveaway, coupon programme or similar promotional activity through the Platform unless expressly authorised in writing by Cansly and permitted under Applicable Law.

Every Product listing must be complete, accurate, truthful and not misleading, and must contain sufficient information to enable Buyers to make an informed purchasing decision. Where applicable, each listing shall include the Product title, description, category, supported platforms, software versions, technical compatibility, licence type, permitted usage rights, restrictions on use, file format, file size, system requirements, functionality, included features, limitations, purchase price, applicable taxes or charges, and any other information reasonably necessary to accurately describe the Product.

Where reasonably practicable, Vendors shall include representative screenshots, preview images, demonstration videos, sample files or other appropriate media that accurately depict the Product. Vendors shall not use promotional materials or visual representations that materially misrepresent the appearance, functionality, quality or performance of any Product.

Vendors shall maintain complete, accurate and up-to-date business and contact information within their Vendor account. Cansly may display or disclose such information of the Vendor to Buyers where required by applicable law or where Cansly reasonably considers such disclosure necessary for marketplace transparency, consumer protection, or the resolution of complaints, disputes or legal proceedings.

Cansly reserves the right, but is under no obligation, to restrict, suspend, limit or discontinue the listing, promotion, sale or availability of any Product or category of Products, or to restrict access to the Platform or any Product by any person, jurisdiction or geographic region, at any time and for any reason, without incurring any liability.

All Product listings are subject to Cansly's review and approval. Cansly may approve, reject, edit, reclassify, suspend, remove or otherwise moderate any Product listing at its sole discretion, with or without prior notice, and without liability to the Vendor.

Vendors shall not:
(a) list any Product prohibited under this Policy or the Terms listed under prohibited items;
(b) infringe or facilitate the infringement of any third-party intellectual property rights or other legal rights;
(c) publish duplicate, repetitive, misleading or spam listings;
(d) manipulate search rankings, recommendations, reviews, ratings or any Platform algorithms or systems;
(e) engage in keyword stuffing, misleading metadata or any other practice intended to artificially improve Product visibility;
(f) circumvent or attempt to circumvent listing limits, moderation procedures or other Platform controls; or
(g) exceed the maximum number of listings permitted under the Vendor's applicable tier, subscription plan or any other limit prescribed by Cansly.
- Vendors shall ensure that all Product pricing is genuine, transparent and accurately reflects the Product being offered. Vendors shall not engage in deceptive, misleading, predatory, artificial or manipulative pricing practices, including bait pricing, false discounts, fictitious reference pricing or any other pricing practice likely to mislead Buyers.
5. Product Terms / Warranty Field Requirement

You must complete the Product terms/warranty field for each listing, clearly stating validity, region restrictions, usage conditions, and any warranty or replacement terms you offer.

Your stated Product terms are binding on you, form part of your sale to the Buyer, and may be relied on by Cansly in disputes. Vague, contradictory or unlawful terms may be rejected, and ambiguity will be construed against the original information provider (that is, the Vendor in this case) in a dispute.
6. Prohibited Items & Services Policy
The following Products, Services, listings, activities and conduct are strictly prohibited on the Platform. This list is illustrative and non-exhaustive. Cansly may, in its sole discretion, take enforcement action under Section 18 of the Terms of Service against any Product, Service, listing, account or activity that it considers to be unlawful, harmful, fraudulent, deceptive, inappropriate, or otherwise inconsistent with these Terms.
(a) Prohibited Products and Services
You must not list, advertise, offer, sell, solicit, distribute or otherwise transact in relation to:
(i) any Product or Service that is unlawful under the laws of Bangladesh or any other applicable jurisdiction, including any controlled substances, prohibited weapons, regulated financial instruments or any other item whose sale or distribution is prohibited by law;
(ii) stolen, fraudulently obtained, carded, charged-back, leaked, cracked or otherwise unlawfully obtained digital Products, accounts, licences, activation keys, access credentials or other digital goods;
(iii) hacked, hijacked, shared or unauthorised accounts, credentials or subscriptions, or any Product or Service that the Vendor is not legally authorised to sell, transfer or licence, including any item obtained in breach of a third party's contractual terms or terms of service;
(iv) counterfeit, pirated or otherwise infringing software, digital content, media, licences, subscriptions or other Products, including cheats, exploits, hacks, bots, modifications or tools that violate applicable law or the terms of any third-party platform or service;
(v) any Product or Service that infringes or misappropriates any intellectual property right, contractual right, privacy right, publicity right or any other right of any person;
(vi) malware, viruses, trojans, worms, ransomware, spyware, phishing kits, exploits, malicious code, stresser or booter services, or any Product or Service designed to compromise, damage, disrupt, gain unauthorised access to, or facilitate offences against any computer system, network or data;
(vii) third-party personal information, identity documents, authentication credentials, payment credentials, government-issued identification, confidential information or other data that the Vendor is not lawfully authorised to disclose or transfer;
(viii) gambling services, money transmission services, currency exchange services, investment or financial services, payment services or any other regulated activity requiring a licence, registration or regulatory approval that the Vendor does not possess;
(ix) any Product or Service intended to facilitate fraud, identity theft, money laundering, tax evasion, sanctions evasion, deceptive practices or the circumvention of the Platform's fees, payment systems, security measures, monitoring systems or geographic restrictions;
(x) any content involving the sexual exploitation of minors or any content that exploits, abuses or endangers minors. Such content is strictly prohibited, will result in immediate and permanent account termination, and may be reported to the appropriate law enforcement or regulatory authorities; or
(xi) any other Product or Service that Cansly reasonably considers to be unlawful, unsafe, deceptive, unethical or otherwise unsuitable for the Platform.
(b) Prohibited Conduct
You must not:
(i) use the Platform for any unlawful, fraudulent, deceptive or unauthorised purpose or encourage, assist or induce any other person to do so;
(ii) violate any applicable international, national or local law, regulation, rule or governmental requirement;
(iii) infringe, misappropriate or otherwise violate the intellectual property or other proprietary rights of Cansly or any third party;
(iv) harass, abuse, threaten, intimidate, bully, defame, disparage, discriminate against, or otherwise harm any person;
(v) submit, publish or communicate any false, inaccurate, misleading or deceptive information;
(vi) upload, transmit or distribute any virus, trojan, worm, logic bomb, malicious code or other harmful technology, or otherwise interfere with the operation, security or integrity of the Platform or any connected system;
(vii) collect, scrape, harvest, monitor, track or otherwise obtain personal information or Platform content through automated or manual means without Cansly's prior written consent;
(viii) spam, phish, pretext, crawl, scrape or otherwise misuse the Platform or its infrastructure;
(ix) submit, publish or disclose another person's personal, confidential or proprietary information without lawful authority or consent, including payment information, identity documents, non-public contact details or authentication credentials;
(x) place fake Orders, abuse the ordering system or intentionally refuse delivery after confirming an Order without a legitimate reason;
(xi) copy, reproduce, download, modify, republish, distribute, license, sell, commercially exploit or create derivative works from any content, database, directory, listing or other material available on the Platform, except as expressly permitted by these Terms;
(xii) use any content or data obtained from the Platform to develop, operate or support any competing business or service;
(xiii) attempt to undermine, test or circumvent the security, integrity or operation of the Platform or gain unauthorised access to any account, computer system or network;
(xiv) systematically retrieve Platform content, whether manually or through robots, spiders, crawlers, scripts or other automated means, to create or compile any database, directory or collection without Cansly's prior written consent; or
(xv) otherwise use the Platform or its content in any manner not expressly authorised by these Terms.
Any breach of this Section constitutes a material breach of these Terms and may result in Cansly taking any enforcement action available under Section 18 (Rights Reserved) of the Terms and services, in addition to any other rights or remedies available under these Terms or applicable law.
7. Delivery Obligations (Automatic & Manual)

Digital Products are usually delivered automatically and instantly after payment confirmation and fraud-gate clearance. Some Products may be delivered manually in physical forms. In such cases, delivery shall be completed within 5 (Five) Business Days for deliveries within Dhaka, Bangladesh, and within 10 (Ten) Business Days for deliveries to any other location within Bangladesh. For international deliveries, delivery timelines shall be subject to the schedules and performance of the relevant courier or logistics service providers, including but not limited to FedEx and DHL. Cansly shall not be liable for any delay attributable solely to such third-party delivery service providers.

For Products requiring manual delivery, Vendor shall ensure that the Product is handed over to the relevant delivery service provider within 48 (Forty-Eight) hours of receiving full payment from the Buyer.

High-risk Orders may be briefly held for manual review before release. The following shall be determined as high-risk orders:
i) New account's first order regardless of category, especially when a brand-new buyer places a large first order.
ii) Rapid repeat orders where the same buyer places multiple high-value orders within a short period (minutes or hours), particularly for identical products.
iii) Orders where the buyer's location, IP address, or payment origin does not match the ordered product or expected purchasing pattern.
iv) Bulk orders of the same item, purchasing many units of a single product in one transaction, which is common in card-testing fraud.
v) Orders with mismatched billing or account details, such as name mismatches or inconsistent KYC information for high-value buyers.

In the event that an Order cannot be fulfilled due to circumstances beyond the reasonable control of Cansly or the Vendor, Cansly shall notify the Buyer of such inability within 48 (Forty-Eight) hours of becoming aware of the same. Any payment received in respect of such Order shall be refunded to the Buyer within 72 (Seventy-Two) hours, excluding any processing time required by the relevant payment service provider.

Automatic delivery: For pooled Products, the delivery engine delivers the next available item from your stock pool instantly after payment and fraud-gate clearance. You must keep valid, unused items in the pool. In this regard, Pooled products shall mean Products for which the Vendor uploads a batch of individual codes, keys, accounts, or other deliverable items in advance and the Platform automatically delivers the next available, unused item from the Pool to the Buyer immediately upon successful payment, without requiring any manual action by the Vendor.

If a pool is empty or manual fulfilment is required, you must upload and assign a valid replacement within 24 (Twenty-Four) hours of the failed-delivery alert; failing which the system automatically refunds the Buyer in full to the original payment method, cancels the Order, and credits you nothing. Repeated failures trigger penalties under Section 14 (Vendor Penalties and Liquidated Damages) and listing pauses.

You must not deliver invalid, used, undisclosed region-locked, or wrong Products; doing so triggers penalties, clawback and possible ban. In this regard, clawback shall mean the automatic deduction of the Vendor's earning which at the time remained in the Vendor's ledger balance and have not yet been withdrawn.
8. Stock & Pool Management

The Products listed by the Vendor must be under the control or possession of the vendor or a person or entity contracted by the seller. Accordingly, the advertisement posted on the Platform must specify the quantity of the Products available in stock, and the stock information be updated with each completed sale. If the displayed Products are not under the control or possession of the Vendor, the words "Out of Stock" will be displayed next to the product.

You are responsible for maintaining adequate, valid stock for every active listing/variant; each variant has its own pool.

You must not load duplicate, used, invalid, or unauthorised codes. Code-resale/pool corruption (the same code delivered to multiple Orders) is treated as fraud.

Persistent low stock, empty pools or failed deliveries may result in listing pauses, tier impact, penalties, and account review.
9. Vendor Payout & Settlement Policy

Funds for an Order are held (with the PSP) until the 24-hour Buyer-Protection Window closes without a dispute, or per a dispute outcome; on release, earnings (Product price minus commission) move to your available balance.

Earnings are credited net of commission and any applicable penalties, refunds, clawbacks, forfeitures or set-offs. Disputed, held or frozen amounts are unavailable until resolved
-
Cansly maintains only the ledger record of your balance; Cansly does not have custody of customer funds, and payouts are executed through PSPs. Funds become part of your Available Balance in accordance with Section 9.1. The time required to actually withdraw those funds depends on your chosen withdrawal method and PSP processing, as set out in Section 10, both of which are outside Cansly's control.

You are responsible for the accuracy of your payout account. Payout-account changes trigger a security hold before use. Cansly is not liable for payouts misdirected due to inaccurate details you provided.
10. Withdrawal Rules & Fees (29 BDT)

Minimum withdrawal is 500 BDT. Each withdrawal incurs a flat 29 BDT fee, deducted from the gross amount, regardless of amount. Payment service providers or financial institutions may impose additional processing fees, currency conversion charges or other transaction costs depending on the selected withdrawal method, all of which shall be borne solely by the Vendor. All withdrawal fees are non-refundable.

You must re-enter your password to submit a withdrawal; on submission the amount is locked from Available Balance.

Withdrawal requests shall be processed using the withdrawal method selected by the Vendor. Withdrawals through international payment providers (where permitted for eligible non-resident vendors) are processed in accordance with third-party processing timelines. Withdrawals through local payment methods, including bKash, Nagad and bank transfers, are generally processed manually and are ordinarily expected to be completed within 24 (Twenty-Four) hours. Notwithstanding the foregoing, Cansly shall use commercially reasonable efforts to process all withdrawal requests within 10 (Ten) days of submission, provided that no circumstance exists under Section 10.4 or any other provision of this Policy that justifies a delay, suspension or refusal of the withdrawal

Cansly may, in its sole discretion and without incurring any liability, suspend, delay, place on hold, reject, reverse or cancel any withdrawal request where it reasonably believes that such action is necessary to:
(a) investigate suspected fraud, money laundering, terrorist financing or any other unlawful activity;
(b) verify the Vendor's identity, ownership of the Vendor Account or compliance with KYC or other regulatory requirements;
(c) investigate any suspected breach of this Policy, the Terms or Applicable Law;
(d) preserve funds relating to an actual or anticipated Buyer dispute, chargeback, refund request or claim;
(e) investigate unusual, suspicious or abnormal transaction patterns, including unusually large or first-time withdrawals;
(f) comply with any court order, regulatory requirement, law enforcement request or legal obligation;
(g) address any technical, operational or payment processing issue affecting the withdrawal; or
(h) protect the legitimate interests, security or integrity of the Platform, Cansly, its payment partners, Buyers or other users.
Where a withdrawal request is cancelled, the relevant amount may be returned to the Vendor's available balance unless such funds are required to remain frozen pursuant to this Policy or applicable laws.

Cross-Border & Payout Geo-Restriction (Bangladeshi Vendors Withdraw Local Only)

Bangladeshi Vendors may NEVER withdraw in foreign currencies or international settlement channels, regardless of how the Buyer paid, and must use local payout methods only (bKash, Nagad, Rocket, bank). Where a Buyer paid through an international payment channel, Cansly converts and settles commission to its BDT bank account and the Bangladeshi Vendor is paid via a local method.

This restriction on foreign currency payouts is a legal-compliance requirement under Bangladesh foreign exchange regulations and following review by Bangladesh counsel, and is not optional. You indemnify Cansly for any Loss arising from your attempt to circumvent it.
12. Dispute Obligations &** **SLA (24h Response / 48h Resolution)

All disputes shall be administered in accordance with the dispute resolution procedure set out in the Buyer Policy, as amended from time to time. Vendors shall cooperate fully with Cansly throughout the dispute resolution process and comply with all reasonable requests for information or evidence.

Upon notification of a dispute, the Vendor shall respond through the Platform's dispute resolution system within 24 (Twenty-Four) hours and provide all relevant evidence, including, where applicable, delivery logs, transaction records, proof of validity, screenshots or any other information reasonably requested by Cansly. Failure to respond within the prescribed timeframe or to provide sufficient evidence may result in the dispute being determined on the available evidence.

Cansly shall determine disputes in accordance with the Buyer Policy and the evidence submitted by the parties. Subject to applicable laws, Cansly's determination shall be final and binding upon the Vendor, who shall promptly comply with and honour the outcome of the dispute, including any refund, partial refund, replacement, reversal, clawback or other financial adjustment.

Vendors shall not contact, harass, threaten, retaliate against or otherwise attempt to influence a Buyer outside the Platform in relation to an active dispute. Any such conduct shall constitute a material breach of this Policy.
13. KYC / AML / Fraud Policy (Vendor-Facing)

KYC: You must complete and maintain identity verification. Cansly may re-verify at any time and may suspend payouts or selling pending verification

AML / sanctions: You must not use the Platform for money laundering, terrorist financing, sanctions evasion, or handling proceeds of crime. Cansly may monitor, request source-of-goods/funds information, delay or refuse payouts, freeze balances, file reports, and cooperate with authorities where it suspects financial crime, without liability to you.

Fraud controls: Cansly uses device/browser fingerprinting, IP and location logging, VPN/proxy detection, multi-account and impossible-travel detection, purchase-velocity and refund-rate monitoring, and code-resale detection. You consent to these controls. Flags may trigger holds, investigations, and the actions in Section 14 (Vendor Penalties & Liquidated Damages) and Section 15 (Balance, Holds, Freezes and Forfeiture Rights).

You must cooperate fully and promptly with any investigation and provide requested information and evidence. Failure to cooperate is itself a material breach and may result in extended holds, forfeiture, and termination.
14. Vendor Penalties & Liquidated Damages
- Where a Vendor breaches this Policy, Cansly may impose warnings, penalties, commission penalties or liquidated damages, or any combination thereof. Without limiting the foregoing, Cansly may apply the following indicative penalties:

- The following operational performance thresholds and consequences shall apply to all Vendors:
(a) Dispute Rate: If 10% or more of a Vendor's orders are subject to disputes, the Vendor will receive a warning. If the dispute rate reaches 20% or more, Cansly may suspend the Vendor's Account.
(b) Refund Rate. If 10% or more of a Vendor's orders result in refunds, the Vendor will receive a warning. If the refund rate reaches 15% or more, Cansly may impose a commission adjustment, flag the Vendor's Account for review, or both.
(c) Repeated breaches or Failed Deliveries. Repeated failures to respond disputes or resolution requirements, or repeated failed deliveries, may result in a warning, temporary suspension of one or more Product listings, and an account performance review.

The Vendor acknowledges and agrees that any liquidated damages imposed under this policy are a genuine pre-estimate of Cansly's loss and administrative, reputational and handling costs, are reasonable, are not a penalty, and are payable in addition to clawback of affected earnings and any refund funded. where Cansly's actual losses exceed these amounts, Cansly may recover the excess, plus collection and legal costs on an indemnity basis.

Any penalty, liquidated damages, or other amount payable under this Policy is recoverable through the deduction and set-off rights in Section 18, or as a debt immediately due and payable.
15. Balance Holds, Freezes and Forfeiture Rights

Cansly may, at its discretion and without prior notice, exercise the hold, freeze and set off rights in Section 18 against earnings, Available Balance and payouts (including future earnings) where it suspects or identifies: fraud or abuse; invalid/used/wrong Products; prohibited items; chargebacks or chargeback exposure; dispute exposure; breach; amounts owed or a legal/regulatory requirement.

Where a refund, clawback, liquidated damages, or liability exceeds your Available Balance, Cansly may apply it to future earnings, withhold payouts, and pursue you (and any controlling person) for the shortfall plus collection and legal costs. Cansly may, but need not, absorb a shortfall to protect Buyers and recover it from you separately, including by arbitration or court proceedings.

Investigation holds may last for the duration of the investigation, up to a maximum of 60 (Sixty) days or as long as it requires, after which Cansly Parties decides to release funds or initiate a formal process. Holds, freezes and forfeitures are documented.

Fraud forfeiture: Where Cansly exercises the forfeiture right under Section 18 in relation to fraud, prohibited items, chargeback abuse or material breach, the amount forfeited is limited to the extent of Cansly's Losses and recovery costs. You waive any claim against the Cansly Parties arising from any good-faith exercise of these rights, to the maximum extent permitted by law.
16. Vendor Conduct & Off-Platform Ban

You must not, and must not attempt to take transactions off-Platform; solicit, share or accept contact or payment information to circumvent Cansly, request "cancel and repurchase"; solicit off-Platform payment (e.g. direct bKash/Nagad); or otherwise circumvent Cansly's fees, payment flow, monitoring or geo-restrictions. Any off-platform dealing and fee circumvention are material breaches and a primary ground for penalties, clawback and permanent ban.

All messaging is open, monitored, filtered and logged. Automated filters block phone numbers, emails, social handles, links and payment requests; violations escalate (block → warning → temporary mute → account flag → messaging suspension). Chargeback threats and "cancel and repurchase" requests trigger immediate escalation.

You must treat Buyers and staff professionally and must not harass, threaten, defraud or retaliate against them.
17. Intellectual Property & Listing Content

You represent and warrant that you own or are licensed to use all content in your listings and all Products you sell, and that they do not infringe any intellectual-property, contractual or other third-party right or violate any third party's terms of service.

You grant Cansly the licence over your User Content set out in Section 9 (User Contents & License) of the Terms.

You are solely responsible for any claim arising from your listings, content or Products, including IP-infringement claims as addressed in Section 26.
18. Authorisation to Deduct, Set Off and Recover Amounts
- You hereby irrevocably authorise Cansly, its payment service > providers, payment processors and other authorised third-party > payment partners to calculate, deduct, withhold, set off, > reverse, suspend, freeze, retain, forfeit any commissions, > service fees, transaction fees, refunds, penalties, liquidated > damages, taxes, costs, expenses or any other amounts payable > by you under this Policy, the Terms or Applicable Law from any > amounts otherwise due or payable to you, including your > current or future earnings, account balances or payout > amounts. Cansly may exercise such rights to recover any loss, > liability, damage, expense or other amount incurred or > suffered by Cansly arising out of or in connection with your > breach of this Policy, the Terms, applicable law, or any act > or omission attributable to you.
19. Limitation of liability

To the fullest extent permitted by applicable law, the Platform and all services provided by Cansly are provided on an "as is", "as available" and "with all faults" basis. Cansly expressly disclaims all representations, warranties and conditions, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, reliability, security or error-free operation.

As set out in Section 2.1, Cansly acts solely as the operator of the Platform and an intermediary facilitating transactions between Buyers and Vendors. Cansly does not create, own, manufacture, license, verify, endorse, guarantee or warrant any Product listed by a Vendor, nor does it warrant the accuracy, legality, quality, functionality, compatibility or fitness of any Product offered through the Platform.

The Vendor acknowledges and agrees that Cansly shall not be liable for any Loss arising out of or in connection with:
(a) the Vendor's use of, or inability to use, the Platform;
(b) any interruption, delay, error, defect, omission or unavailability of the Platform or any third-party service integrated with the Platform;
(c) any Product listed, sold or supplied by the Vendor or any dispute between the Vendor and a Buyer;
(d) any infringement or alleged infringement of intellectual property rights or other rights arising from any Product or content submitted by the Vendor;
(e) any unauthorised access to, or alteration, disclosure or loss of, the Vendor's account, data or content, except to the extent directly caused by Cansly's gross negligence or wilful misconduct;
(f) any act, omission, fraud, misconduct or breach of contract by any Buyer, Vendor, payment service provider or other third party; or
(g) any suspension, removal of listings, withholding of funds, account restriction or other enforcement action taken by Cansly in accordance with the Terms, this Policy or Applicable Law.

To the fullest extent permitted by applicable law, Cansly shall not be liable for any indirect, incidental, special, exemplary, punitive or consequential Loss, or for any loss of profits, revenue, goodwill, business opportunity, anticipated savings, data or reputation, whether arising in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility of such Loss.

To the fullest extent permitted by Applicable Law, Cansly's aggregate liability to a Vendor arising out of or in connection with this Policy, the Platform or any transaction shall not exceed the total commission actually received by Cansly from the specific transaction giving rise to the relevant claim during the 6 (Six) months immediately preceding the event giving rise to such claim.

The limitations and exclusions of liability set out in this Policy shall not apply to any liability that cannot be excluded or limited under applicable law.
20. Child Labour
Employment of children in any form is strictly prohibited. Vendors shall employ only those workers, who meet the legal minimum age (14 (Fourteen) years old) for working in Bangladesh. Further, workers below 18 (Eighteen) years of age should not be employed for night shifts and in hazardous conditions. All applicable laws relating to child labor stipulated in Bangladesh Labour Act 2006, Bangladesh Labour Rules 2015 and other related law and international instruments must be followed.
21. Forced labour
All forms of forced and bonded labor are prohibited including compulsory overtime. Vendors must ensure that their workers are able to voluntarily end their employment without any restrictions pursuant to the Bangladesh Labour Act 2006. Any restrictions on employees to voluntarily end their employment, such as excessive notice periods or substantial fines for terminating their employment contracts, are prohibited.
22. Harassment, abuse & discrimination
Vendors must treat their workers with respect and dignity and should not subject them to any form of physical abuse or discipline, the threat of physical abuse, sexual or other harassment and verbal abuse or other forms of intimidation. Workers should not be subjected to discrimination in employment, including hiring, compensation, promotion or discipline, on the basis of gender, race, religion, caste, age, disability, sexual orientation, pregnancy, marital status, nationality, political opinion, trade union affiliation, social or ethnic origin or other status protected by law.
23. Wages & benefits
Vendors must pay their workers in a timely manner and at a rate not less than the minimum wage of Bangladesh. Workers should also be provided with legally-mandated benefits, including holidays and leaves, and statutory compensations at the time of ending employment. There should not be any disciplinary deductions from their pay.
24. Working hours
The duration of working hours including overtime shall not exceed 60 (sixty) hours per week. Vendors should comply with applicable laws governing regular working hours and overtime hours. All overtime hours are voluntary and should be compensated as per legal requirements.
25. Health & safety
Workers should be provided with appropriate safe and healthy working conditions including first aid, fire safety, emergency evacuation and other basic requirements such as canteen / dining area, drinking water, sanitation etc. Vendors must ensure that they have a system in place to identify and mitigate work place hazards which can result in illness or physical harm to the employees, visitor or communities.
26. Indemnification
As a vendor, you agree to indemnify, defend and hold Cansly harmless and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, vendors, interns and employees, harmless from any claim or demand, including reasonable lawyers' fees, made by any third-party due to or arising out of your breach of this Policy or any documents they incorporate by reference, or your violation of any law or the rights of a third-party. Furthermore, Cansly must be allowed to recover from its vendors:
(i) all damages which it may be compelled to pay in any suit in respect of any matter to which the promise to indemnify applies;
(ii) all costs which it may be compelled to pay in any such suit if, in bringing or defending it, it did not contravene the orders of the sellers, and acted as it would have been prudent for it to act in the absence of any contract of indemnity, or if the Vendors authorized Cansly to bring or defend the suit;
(iii) all sums which Cansly may have paid under the terms of any compromise of any such suit, if the compromise was not contrary to the orders of the vendors, and was one which it would have been prudent for Cansly to make in the absence of any contract of indemnity, or if the vendors authorized it to compromise the suit.
27. Severability
In the event that any provision of this Policy is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from this Policy, such determination shall not affect the validity and enforceability of any other remaining provisions.
28. Governing law
This Policy and any separate policy shall be governed by and construed and interpreted in accordance with the applicable laws in Bangladesh.
29. Force majeure
Circumstances or events, which cannot be avoided nor prevented by applying due care and economically appropriate means (in particular Acts of God, epidemic, pandemic, natural events, violence of any army or mob or enemies of the country, war, sabotage, strikes, lockouts, factory breakdowns, official orders or measures, lockdown, chemical contamination which are beyond the reasonable control of the parties) and which significantly impair or aggravate the performance of a party shall release the affected party from performance till the end of the force majeure event. In those circumstances the affected party will be granted a reasonable extension of time for the performance of its obligations, the reasonableness of that extension to be assessed in the context of this Policy and affected party's other commitments. The affected party will not be liable for any delay in performing or failure to perform its obligations caused by any force majeure event.
30. Tax Responsibility

You are solely responsible for determining, reporting, collecting (where applicable) and paying all taxes, VAT, duties and levies arising from your sales and earnings, and for any tax registration and filing obligations that apply to you.

Cansly's fees and commissions are stated exclusive of taxes. Cansly may deduct or withhold amounts where required by law and may report transaction and earnings information to tax authorities. Cansly does not provide tax advice.

Any tax liability, penalty, interest or cost arising from your failure to meet your tax obligations, if subjected to Cansly, is recoverable from you under the general indemnity in Section 26.
31. Dispute Resolution
If any dispute arises relating to the website, in the first instance, please contact Cansly at support@cansly.net and legal@cansly.net and attempt to resolve the dispute with Cansly informally.
Cansly and the relevant Vendor shall use all reasonable endeavors to negotiate with a view to resolving the dispute amicably within 60 (Sixty) calendar days from the date any party has informed that a dispute has arisen. Any agreement reached by the partiess in dispute through conciliation/negotiation shall be recorded down in writing and duly executed by them or their authorized representatives. If Parties are unable to resolve their disputes amicably within 60 (Sixty) calendar days (or such longer period as the parties may mutually agree) from the date the amicable settlement has started, then the dispute shall be decided by the appropriate court proceedings.
This Section supplements, and does not replace, Section 21 (Dispute Resolution) of the Terms. The 6 (Six) month limitation period and the Bangladesh court jurisdiction clause set out in Section 21 of the Terms apply equally to any dispute between Cansly and a Vendor arising out of or in connection with this Policy.
32. Vendor Suspension & Termination

Cansly may suspend (hide listings, block new Orders, pause payouts) or terminate Vendor status and/or the account, with or without notice, for breach of this Agreement, the Terms or any Policy, fraud or suspected fraud, invalid/prohibited Products, high dispute/refund/failed-delivery rates, dispute obligations; off-Platform dealing or fee circumvention, KYC/AML concerns, chargeback abuse, multi-accounting or ban evasion, or any conduct harmful to the Platform, Buyers or Users.

Temporary listing suspensions typically last until corrective action, up to a maximum of 60 days, after which unresolved cases escalate to permanent removal. Permanent bans may follow serious or repeated violations or the applicable number of formal warnings.

On suspension or termination: pending Orders and withdrawals may be cancelled or held; balances may be held, frozen, set off, forfeited or clawed back as permitted; open disputes are resolved and amounts owed to Cansly remain payable on demand, plus collection and legal costs. KYC documents are retained until account closure and deleted 6 months after closure, except where longer retention is required.

You may request to close your Vendor account, subject to completion or resolution of open Orders, disputes, holds and investigations, and settlement of amounts owed. Termination does not entitle you to any refund of fees, subscriptions or boosts except where non-excludable law requires.
